Terms of Service

Version 1.0 · Effective June 7, 2026

These Terms of Service ("Terms") govern your access to and use of PayToowe (the "Service"), operated by PayToowe ("we", "us", "our"). By creating an account, signing an agreement, or otherwise using the Service, you agree to be bound by these Terms.

1. What PayToowe Is — and Is Not

PayToowe is a software platform that helps individuals document, track, and optionally facilitate payments on informal loans between friends, family, and acquaintances.

PayToowe is NOT:

  • a bank, credit union, lender, money transmitter, or financial institution;
  • a debt collector or collections agency;
  • a law firm and we do not provide legal advice;
  • a registered investment, tax, or financial advisor;
  • a credit reporting agency;
  • a party to any agreement created between users on the platform.

Agreements created on PayToowe are between the participating users only. We provide tooling to record terms; we do not lend money, hold funds (except as a payment facilitator through our third-party processor), guarantee repayment, or enforce obligations. When the lender records an ACH funding event ("Fund Loan"), PayToowe is recording a self-attested status — the lender originates the bank transfer through their own bank, and PayToowe does not transmit money between users.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts in your jurisdiction. You agree to provide accurate, current information and to keep your account secure.

3. Electronic Signatures and Records (E-SIGN Consent)

By clicking "Accept", "Sign", "Create agreement", or similar buttons, you agree that your electronic actions constitute a legally binding electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and applicable international equivalents (such as eIDAS in the EU). You consent to receive all agreements, disclosures, notices, and records electronically.

You may withdraw this consent by closing your account, but doing so will prevent you from using the Service. To request paper copies of any record, contact us at support@paytoowe.com (a reasonable fee may apply).

4. User Responsibilities

  • You are solely responsible for the accuracy of every agreement you create or sign, including amounts, dates, interest, and counterparty identity.
  • You are responsible for verifying the identity of the other party. PayToowe does not perform identity verification, credit checks, or KYC on counterparties.
  • You are responsible for the tax, legal, and regulatory consequences of any loan you make or receive, including reporting interest income, imputed interest, and gift tax implications.
  • You will not use the Service to facilitate illegal activity, usurious interest rates, predatory lending, money laundering, terrorist financing, or to circumvent sanctions.
  • You will not impersonate another person, use false information, or create agreements without the other party's knowledge and consent.

5. Trust Score Disclaimer

The PayToowe Trust Score is an internal, informational signal calculated from platform-only behavior such as on-time payments, completed agreements, and account history. It is NOT a credit score, NOT a FICO score, NOT a consumer report under the Fair Credit Reporting Act, and NOT a measure of a person's overall creditworthiness, character, or financial stability.

Trust Scores are provided "as is" for informational use within PayToowe only. We make no representations about their accuracy and we are not liable for any decision you make based on a Trust Score.

6. Verification Disclaimer

Any badges, "verified" indicators, or status labels reflect limited checks (such as email confirmation or completion of platform activity). They do not constitute identity verification, background checks, or endorsement. Always independently confirm the identity of anyone you transact with.

7. Fees and Payments

  • Free plan: creating and tracking agreements is free. A one-time platform fee of $3.99 USD per agreement applies when the agreement becomes active.
  • PayToowe Plus: $7.99 USD per month waives the per-agreement platform fee and unlocks premium features (audit-trail PDF export, Trust Score history and breakdown, shareable profile link).
  • Payment processing: when you choose to send or receive payments through the Service, transactions are processed by Stripe, Inc. Stripe's fees and terms apply in addition to ours.
  • All fees are non-refundable except where required by law. Subscriptions renew automatically until cancelled; you can cancel at any time from your billing portal.
  • Failed payments may result in suspension of paid features. We may change pricing on 30 days' notice.

8. No Guarantee of Repayment; Disputes Between Users

PayToowe does not guarantee that a borrower will repay a loan, that a lender will honor their obligations, or that any agreement is enforceable in your jurisdiction. We are not responsible for collecting payments on your behalf, mediating disputes between users, or enforcing the terms of any user-created agreement.

Disputes between users must be resolved between the users themselves, through their own legal counsel, or through applicable courts or alternative dispute resolution. We may, at our sole discretion and without obligation, provide records of platform activity in response to valid legal process.

9. Fraud Prevention and Account Security

We use automated and manual systems to detect fraud, abuse, and prohibited activity. We may, at any time and without prior notice:

  • place a hold on funds, transactions, or accounts pending review;
  • reverse, refund, or cancel transactions that appear fraudulent or unauthorized;
  • share information with law enforcement, regulators, or our payment processor as required by law;
  • require additional verification before allowing further use of the Service.

You must promptly notify us of any unauthorized access to your account or suspected fraud at support@paytoowe.com.

10. Account Termination

You may close your account at any time from your profile settings. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, created risk to other users or to PayToowe, engaged in fraud or illegal conduct, or for any other reason permitted by law. Termination does not extinguish obligations you owe to other users under agreements you signed on the platform.

11. Intellectual Property

PayToowe, its logos, designs, software, and content are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of the content you submit, and grant us a license to host, display, and process it as needed to operate the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DISCLAIM ALL LIABILITY FOR THE CONDUCT OF USERS OR THIRD PARTIES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PAYTOOWE, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, ANY AGREEMENT YOU ENTER INTO ON THE PLATFORM, OR ANY DISPUTE WITH ANOTHER USER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO PAYTOOWE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless PayToowe and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any dispute with another user.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring a claim in small-claims court. You waive any right to participate in a class action.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
